Transaction Advisory Services - Senior Associate or Manager Location Hybrid work in Towson, MD : About the Company Headquartered in Baltimore, Maryland, STOC Advisory is a business advisory firm specializing in M&A transaction advisory services with an emphasis on accounting, finance and operations. The service offerings include Quality of Earnings (buy-/sell-side financial due diligence), pre-LOI valuation assistance, accounting integration, corporate development support, turnaround and restructuring services, purchase price allocation (PPA) and financial modeling.
We are seeking a talented and self-motivated, Transaction Advisory Senior Associate or Manager, to support ongoing growth initiatives of the firm.
Duties & Responsibilities: Participate and support business development efforts with current and prospective clients (e.g., research, proposal support, attend networking events, etc.). Assist in the development of training materials, best processes, template refinements, and other industry-specific analyses to enhance deliverables on behalf of Clients. Participate in scoping and engagement letter preparation for new projects. Oversee deal process and junior team members to ensure high-quality deliverables are consistently prepared in conjunction with the needs of Clients. Lead multiple buy- and sell-side financial due diligence projects for private equity clients, investment banks and middle-market companies leveraging deal experience and expertise to solve complex issues. Interface with the Target and Client (i.e., private equity, corporate development, accounting / integration) to obtain information and ensure the delivery of high-quality projects is timely and on budget. Analyze and synthesize target company data to identify historical and projected financial and operating trends, quality of earnings and working capital considerations, and potential liabilities and risks which impact valuation and negotiation of the target company. Analyze employment agreements, facility leases, equipment leases to understand the impact effective impact on free-cash-flow (FCF). Prepare consistent and reliable financial reporting, organize and manage data, present rolling historical and pro forma results, forecast financials and strategic positioning of deal priorities that truly matter and impact financial results. Embrace a willingness to "roll up her/his sleeves" and work in a lean fast paces start-up environment. Clearly communicate status updates and identify target key findings both internally and externally. Enable leadership teams to make informed business decisions. Apply technical accounting and financial knowledge to specific client situations. Qualifications: Bachelor's degree in Accounting, Finance, Economics, or related business degree. Five (5) or more years of relevant experience in accounting, mergers & acquisitions, or related professional services consulting. Preferred industry experience in Healthcare, Retail, and / or Professional Services. Strong knowledge of generally accepted accounting principles (GAAP); CPA or CFA preferred. Robust analytical skill set with an understanding of integrated financial statements and the underpinnings of accounting. Extensive knowledge analyzing quality of earnings, EBITDA, working capital, and cash flows. Outstanding quantitative and qualitative analytical skills and superior written and oral communication skills (ability to relay critical issues to senior professionals concisely). Ability to multitask and manage time effectively with a proven record of simultaneously managing multiple projects for various Clients. Proven ability and success in executive management interviews of Target companies. Proficiency in Microsoft Excel, Microsoft Excel, Power BI, Artificial Intelligence, QuickBooks. Featured benefits
