Schedules and confirms appointments, calendars, meetings, travel, and events for executive leadership. Tracks expenses and other budget oversight responsibilities. Utilizes business software applications to prepare correspondence, reports, presentations, agendas, speeches, minutes, etc., compiles data for expense and statistical reports. Conducts research to prepare documents for review, presentations, meetings, and events. Meetings may include support of Board of Trustees or other high level internal/external constituents. Essential Function Category Title Office of General Counsel Support % of time for section 50 Function Details OFFICE OF GENERAL COUNSEL Intake requests for legal advice and legal assistance by evaluating, prioritizing, and triaging requests and, as appropriate, refer the matter to General Counsel, Associate General Counsel, and/or provide direct assistance to clients of the OGC under the supervision of an attorney. Draft legal documents and correspondence; review and edit documents. Provide assistance to attorneys in a wide variety of practice areas, including employment litigation, other litigation, intellectual property, real estate, transactional, bankruptcy, trust, and probate law. Access state and federal courts electronically to conduct searches and file documents. File and record documents with appropriate governmental offices. Perform legal research utilizing a variety of federal, state, county, local government, and other resources, including Westlaw; report findings; verify legal citations and references. Serve as a licensed notary public providing notary services for University business requirements and for members of the University community. Maintain University litigation records and process class action claims on behalf of the University. EXECUTIVE LIAISON TO THE SECRETARY OF THE BOARD OF TRUSTEES AND SECRETARY TO THE CORPORATION OF GONZAGA UNIVERSITY Prepare agendas, prepare official minutes, attend, and take notes for all Board of Trustees meetings. Draft corporate resolutions for review, discussion, and approval by the Board of Trustees. Request, receive, review and maintain copies of conflict-of-interest questionnaire responses from all members of the Board of Trustees and employees as required by Board policy and the Corporation's bylaws. Prepare amendments and changes to the Corporation's bylaws and contract signature authority delegation memo as required by the Board of Trustees and President. File annual reports with the Secretary of State for the Corporation of Gonzaga University, Gonzaga University Telecommunications Association (GUTA), and four separate Gonzaga real estate holding companies which are limited liability companies. Communicate electronically, in person, and by telephone with the Board Chair, Vice Chair, President, and individual members of the Board of Trustees on various corporation governance matters including issuing, receiving, and tabulating individual board member voting on action by written consent. Maintain all Corporation of Gonzaga University and Board of Trustees' files on membership, committee assignments, resolutions, actions, and meeting minutes. Previous executive-level support is preferred. Ot 7 years expereince (Paralegal, legal secretary, or legal assistant) if subbing for Bachelor's Degree. Comprehensive knowledge of law office operations, legal procedures, legal lexicon, and legal documents; familiarity with state and federal court procedures. Demonstrated computer literacy and knowledge of workplace technology, including Microsoft Office Suite, including MS Word, Access,Excel, Outlook, SharePoint, Adobe Acrobat Pro, Concur, Sitecore, and PACER (Public Access to Court Electronic Records). Excellent grammar, spelling, punctuation, composition, and proofreading skills. Strong written and verbal communication skills. Strong interpersonal skills; ability to relate and work positively and effectively with attorneys, executives, administrators, Board members, students, faculty, staff, governmental entities, and the general public while representing the University professionally. Ability to maintain absolute confidentiality and sensitivity regarding highly confidential and sensitive matters. Demonstrated ability to prioritize, organize and complete multiple, deadline-driven assignments. Desired Qualifications Paralegal Certificate Familiarity with computerized research and basic IT support skills Experience as a webpage content editor or webmaster Experience taking and transcribing meeting minutes Physical / Environmental Qualifications The functions are usually performed sitting but may involve some amount of time standing, stooping, kneeling, bending, lifting, walking, carrying, and reaching while filing and performing other duties.
