The Legal Department is seeking a well-qualified lawyer for a term staff position of Counsel/Senior Counsel, to work mainly on investment transactions and related policies in its Administrative Law Division. The Administrative Law Division provides legal advice on a wide range of issues critical to the management and administration of the organization, including matters relating to human resources and the administration of the IMF's property, investments and procurements, and litigation. The successful candidate will be appointed on a three-year term appointment.
The successful candidate will work under the supervision of the Assistant General Counsel responsible for the Administrative Law Division, or a designated Senior Counsel, and will be responsible for handling a wide range of legal matters under the purview of the Division. The selected candidate will be a key contributor to the Division's investment practice area, including investment transactions and relevant internal policy and governance matters relating to investments of the IMF's endowment, reserves and trust assets, as well as the IMF's pension and other employee benefits funds. Among other things, the selected candidate will draft and negotiate agreements for private equity and debt funds as well as investment management agreements for separately managed accounts, custody agreements, derivatives documents, and advise on operational matters such as AML/KYC, market access, and tax relief services in non-U.S. jurisdictions. Policy and governance issues commonly arising include advice on the development and application of internal rules for investment matters, such as for the avoidance of perception of conflicts of interest, responsible investing, and on U.S. and international investment law and regulation.
Duties will also include work on contracts for the procurement of information technology and other services, and advising on intellectual property rights and licensing. Relevant contract experience will include developing templates for use by internal clients, as well as tools to guide legal colleagues in contract reviews. The selected candidate will additionally be expected to develop into a well-rounded contributor to a range of other matters handled by the Division, such as advising on IMF staff rules and regulations and advising on questions related to the IMF's status as an intergovernmental organization, including the IMF's immunities and privileges, and litigation matters.
Qualifications
The successful candidate should have a graduate degree in law (J.D., LLM or equivalent), and a minimum of four years of directly relevant professional legal experience advising on investment transactions under U.S. law. The successful candidate will have demonstrated expertise in investments with particular focus on investment via funds as well as separately managed accounts, with experience in contracts for the procurement of information technology and other services being an advantage. In addition, work in a major law firm, investment manager or financial institution will be an advantage.
The successful candidate must demonstrate an ability to work well under pressure, and the technical versatility and flexibility to successfully and independently handle a variety of matters, frequently with short deadlines. The candidate should be a self-starter who works well in a collegial team environment and has demonstrated the ability to establish and maintain strong working relationships with both internal clients and external parties. Excellent research and analytical skills; clear, concise English writing skills; strong interpersonal skills and the ability to work well with counterparts of different cultural backgrounds; excellent oral communication skills; and excellent planning and organizational skills are essential to the position.
