Position Summary: Ryan Specialty has an exciting opportunity for a Corporate Counsel to join the Legal Department's corporate team. The Legal Department provides a full suite of legal services to the Company and this role would be to primarily facilitate and support general corporate, commercial, and M&A legal needs, with employee benefits, U.S. Health Insurance Portability and Accountability Act (HIPAA), protected health information (PHI) and Business Associate (BA) experience a plus. This Corporate Counsel will work closely with senior attorneys to support corporate and business functions in a collegial and dynamic legal department, within a growing international specialty insurance organization. The position offers exposure to providing a wide variety of commercial and corporate legal services, including equity management, contracts, transactions, HR matters, and general legal support for the Company's business operations working independently and with senior attorneys. This role offers the opportunity to work closely with business leaders and exposure to the executive team.
Essential Functions: Review, draft and negotiate a variety of commercial and transactional agreements, such as LOIs, Business Associate agreements, equity grant agreements, offer letters and employment contracts, stock purchase and asset purchase agreements, and agreements with trading partners. Review and revise marketing and promotional materials. Provide support to senior attorneys in complex commercial transactions such as new product launches. Work closely with our legal and business teams as well as collaborate with various departments to help accomplish strategic objectives. Conduct legal and factual research, data analysis and reporting as requested. Utilize contract management software to manage agreements, amendments, legal and compliance due diligence and related tasks. Identify and assess legal and business risks to the Company. Collaborate with team members and communicate relevant information to business leaders and/or executives. Uphold the security and confidentiality of documents, data and potential business transactions. Ability to interpret and apply Company policies, procedures and processes. Perform other relevant duties as requested by senior attorneys and other executives. Education/Experience/Skills: Juris Doctorate degree from an ABA accredited law school required and licensed to practice law in at least one US jurisdiction. 4-6 years' experience as a practicing lawyer, preference for commercial and/or contract experience, with M&A and employee benefits/HIPAA experience a plus. Excellent legal, analytical, contract review, drafting and negotiating skills. Exceptional communication, project management and organization skills with the ability to develop trust and confidence from colleagues and clients. Able to develop and maintain positive relationships with internal and external business partners. Able to identify and articulate client/colleague needs and work through complex problems. Able to work in a fast-paced, constantly changing environment. Able to prioritize tasks and projects and effectively manage time on own. Knowledge of the Insurance industry, insurance transactions and practices are preferred. Proficient in the use of Microsoft Office tools, including Outlook, Word and Excel.  Familiarity with contract management software and/or technology using workflow is preferred.
