A prestigious and rapidly growing law firm is seeking a highly skilled and motivated Corporate Securities Partner to join our client's legal team. You will play a critical role in ensuring legal compliance and providing strategic guidance in matters related to corporate securities, capital markets, and regulatory compliance. You will work closely with our executive team, business units, and external stakeholders, providing expert advice and support to facilitate our company's growth and protect its interests. This position offers the opportunity to engage in challenging and diverse work, including securities offerings, securities filings, corporate governance, and compliance matters.
Responsibilities:
- Advise on securities transactions, mergers, acquisitions, and joint ventures.
- Prepare and review regulatory filings and ensure compliance with securities laws.
- Assist in corporate governance matters and shareholder communications.
- Draft contracts and legal documents, and conduct due diligence.
- Monitor changes in corporate and securities law and provide updates to management.
Qualifications:
- Licensed and in good standing with the Ohio bar.
- Minimum 10+ years of experience practicing corporate securities law, preferably in a reputable law firm or corporate legal department.
- Strong knowledge of federal and state securities laws, regulations, and corporate governance principles.
- Experience with securities filings, including registration statements, periodic reports, and proxy statements.
- Portable book of business required.
