The team values adaptability, high-quality work, and a proactive approach to building a vibrant business.Your RoleEnsure compliance with securities laws and Nasdaq listing requirementsProvide guidance on potential impact of new securities laws and corporate governance trendsDraft and review SEC filings, including proxy statements, 10-Ks, 10-Qs, 8-K's, S-8's, Form SDs, Section 16 filings, and support public company governance and compliance mattersCollaborate with finance, accounting, investor relations, and public relations teamsSupport the Board of Directors and its committeesCreate and maintain corporate governance policies and proceduresAssist in administering global equity programsSupport M&A and strategic transactionsServe as a resource on corporate and securities legal mattersWhat You Will BringJ.D. from a well-recognized law schoolAdmission to a state bar, preferably California5+ years of legal experiencePrior in-house experience a strong plusSuperior communication and analytical skillsExperience working directly with board members and senior managementEffective collaboration and autonomyNegotiation and creative thinking skillsAbout the TeamYou will report to the VP and Deputy General Counsel, who leads the corporate and securities legal function at Nutanix. As part of his role, the VP and Deputy General Counsel helps team members grow in their roles. The VP and Deputy General Counsel has been at Nutanix for over two-and-a-half years. Prior to his current role, he served as Associate General Counsel, Corporate and Securities. This role will be hybrid if you live in the Bay area, otherwise it will be remote.The pay range for this position at commencement of employment is expected to be between USD $ 146,880 and USD $ 293,880 per year.However, base pay offered may vary depending on multiple individualized factors, including market location, job-related knowledge, skills, and experience. The total compensation package for this position may also include other elements, including a sign-on bonus, restricted stock units, and discretionary awards in addition to a full range of medical, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as vacation, sick time, and parental leave), dependent on the position offered.
